Private Limited Liability Company (PT)

A Perseroan Terbatas (PT) is one of the most commonly used corporate structures in Indonesia and can be suitable for both local and foreign investors, depending on the nature of the business and applicable regulations.

The incorporation process involves several legal and administrative steps, from preparing the company documents and registering the business to obtaining the relevant licenses and permits.

PT Registration Requirements

To establish a PT, you will generally need to provide:

• Three proposed company names for approval.

• Copies of the Director’s and Commissioner’s identification documents.

• Recent passport-sized photographs (3 × 4 cm).

• The company’s registered address, together with the relevant lease agreement and building documentation, such as an IMB or SLF where applicable.

• A copy of the land ownership certificate, where required.

• The required company capital in accordance with the applicable Indonesian regulations.

 

Documents and Licenses

Once the company registration process has been completed, the company may receive or obtain the following documents, depending on its business activities and licensing requirements:

• Deed of Establishment (Akta Pendirian).

• Ministry of Law and Human Rights approval.

• AHU company registration data.

• NPWP (Tax Identification Number).

• PKKPR or relevant spatial-use approval, where applicable.

• Standard Certificate, where required.

• NIB (Business Identification Number).

• Relevant business licenses and investment-related approvals, depending on the company’s activities.

 

Registration Timeline

The incorporation and registration of a PT generally takes approximately 2–3 weeks, although the actual timeframe may vary depending on the completeness of the documentation, the type of business activity, and the processing of the required approvals and licenses.​​​​
